General Terms for Agencies

1. Definitions

• "Rate Extra": Rate Extra Tourism L.L.C, Dubai, DET License No. 1253634.
• "Agency": the licensed travel agency or tour operator that signs the Contract.
• "Contract": the signed agreement between Rate Extra and the Agency, including these terms, the API Terms of Use and any product schedule.
• "Products": the verticals listed in the Contract, accessible through the TravelDistro API or the B2B portal.
• "Wallet": the Agency's prepaid balance held with Rate Extra in a contracted currency.
• "Traveller": the end customer for whom the Agency books a Product.

2. Eligibility

Rate Extra contracts only with businesses holding a valid trade licence and a tourism licence or equivalent authorisation. The Agency warrants that its licences are valid for the Contract term and will inform Rate Extra of any suspension or revocation without delay.

3. Account and approval

Access is granted after review of the Agency's application and documents (KYC/KYB). Rate Extra may decline an application without stating reasons. API keys and portal accounts are personal to the Agency and may not be shared or resold.

4. Prepaid wallet

Products are paid from the Wallet. The Agency tops up the Wallet by bank transfer in a contracted currency; bookings debit the Wallet at the quoted price. A rate-limited or failed booking charges nothing. Balance and statement are available through the API and the portal.

5. Pricing and currencies

Prices are quoted live by the API or the portal and are locked by a quote token until its expiry. Rate Extra contracts, invoices and settles in AED, USD, EUR, GBP and TRY. Currency rates applied to the Wallet are available through the API.

6. Invoicing

Rate Extra issues invoices for Wallet top-ups and, where applicable, periodic statements of consumption. Products contracted with a third-party supplier under clause 9 are invoiced by that supplier.

7. Cancellations and refunds

Each booking carries the cancellation policy of the offer at the time of booking. Refunds, where due, are credited to the Wallet. Product-specific rules in the API reference prevail over general statements.

8. Traveller data

The Agency is responsible for the accuracy of Traveller data and for having a lawful basis to share it. Rate Extra processes Traveller data as a processor on the Agency's behalf under the Data Processing Addendum.

9. Third-party suppliers

Some Products are provided and contracted by a third party. In particular, the Hotel API is provided and contracted by Safaryar Holidays (Sindibad Turizm Ticaret A.Ş., Istanbul), which is the Agency's contracting party for that Product. Rate Extra is not a party to that contract.

10. Suspension and termination

Rate Extra may suspend access on suspected misuse, licence issues, sanctions concerns or unpaid amounts, and may terminate the Contract on notice. Either party may terminate for material breach not cured within a reasonable period. Unused Wallet balance is refunded after settlement of open items, less amounts due.

11. Liability

Rate Extra's liability under the Contract is limited to the amount paid for the affected booking, except where liability cannot be limited by law. Neither party is liable for indirect or consequential loss.

12. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of authorities, natural events, strikes or failures of third-party networks.

13. Notices

Notices are given by email to the addresses stated in the Contract. Notices to Rate Extra: legal@rateextra.ae.

14. Governing law and jurisdiction

The Contract is governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction.
